How to read SEC filings for an OTC company

Practical guide to 10-K, 10-Q, 8-K and Form 4: what to look for before investing in OTCQB and OTCQX names.

SEC filings are the foundation of due diligence on OTC companies with active reporting. Even on Pink, check whether recent documents exist on EDGAR. 10-K and 10-Q The annual 10-K and quarterly 10-Q contain financial statements, cash flow and notes on legal risks. For OTCQB biotech, the "Liquidity and Capital Resources" section shows how many months of runway remain. 8-K and material events 8-K filings flag offerings, management changes, defaults or acquisitions. On OTC, an 8-K about a dilutive capital raise can explain a sharp price drop. Form 4 — insiders Monitor insider buys and sells.
